1. Binding Agreement

Please read this Agreement carefully before accessing or using MedicalStaff AI. By accessing MedicalStaff AI or using its serives, you agree to be bound by all of the terms and conditions of this Agreement. ACI Health operates MedicalStaff AI, and the services related to or offered on the site. These Terms govern your use of the interactive websites and all other online interactive features and services, including but not limited to, emails, newsletters, job boards and job postings. We reserve the right, in our sole discretion, to change or modify all or any part of the Agreement at any time, effective immediately upon notice published on this page. Your use of MedicalStaff AI constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by us. Please review the Agreement periodically to ensure you are familiar with the current version. If you do not agree with the terms and conditions, your sole option is to immediately stop using all MedicalStaff AI.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER.

2. Use of Services

As part of the registration process, you will be asked to select a username and password and you will be responsible for keeping your password secure and for all activities occurring under your username. When using MedicalStaff AI, you agree that you may not share passwords, login information, or other named user identification, or otherwise allow multiple offices or users to access the services beyond the scope of your original subscription. If you are a job seeker using MedicalStaff AI who has reason to believe that your account is no longer secure, you must promptly change your password by updating your account information from the My Account section of MedicalStaff AI and immediately notify us of the problem via email to: (email). 3. This Site is for Informational Purposes Only

MedicalStaff AI offers job, career, and employment in the healthcare industry and related information, and are designed for informational purposes only. Nothing stated or posted on the MedicalStaff AI is intended to be, and must not be taken to be, the practice of medicine or counseling care. We do not recommend or endorse any specific physicians, nurses, other practitioners, clinics, hospitals, practices, or other information that may appear on MedicalStaff AI. If you rely on any of the information provided by MedicalStaff AI, our employees, or guests or visitors, you do so solely at your own risk.

4. Access to Site and Services

MedicalStaff AI seeks to allow access 24 hours per day, 7 days per week, except during necessary maintenance operations. MedicalStaff AI is only bound by an obligation to make every effort to provide access to the site and cannot be held responsible, and disclaims all responsibility, for any and all inaccessibility of MedicalStaff AI, and any interruption or temporary stoppage of the services. MedicalStaff AI cannot guarantee the continuity of the site, its permanence or its compatibility with your operating system or browser.

5. Copyright and Trademarks

You acknowledge and agree that MedicalStaff AI contains proprietary and confidential information, including software, content, photographs, audio and video clips, graphics, links, logos, trademarks, and the “look and feel” of the site, that is protected by applicable intellectual property and other laws of MedicalStaff AI or other third parties. You may download and reprint a single copy of the materials from the site for your own personal, noncommercial use only, provided you include all applicable notices and disclaimers. Any other use of the materials is strictly prohibited without our prior written permission and the permission of the applicable rights holder(s). Without limiting the foregoing, the copying, redistribution, reposting, publication, adaptation or alteration of any part of the MedicalStaff AI in connection with any commercial enterprise is prohibited without prior written permission from us. The use of any the materials presented on the MedicalStaff AI on any other website or networked computer environment or for any other purpose is strictly prohibited and such unauthorized use may violate copyright, trademark, and other similar laws. Nothing contained in the site or these terms of use grants any right to use any of the marks available through MedicalStaff AI without our prior written permission.

6. Prohibited Activities

MedicalStaff AI is not intended for children under the age of 18 (or applicable age in your country), and children under 18 (or applicable age in your country) should not use the site or services. You acknowledge and agree that MedicalStaff AI contains proprietary and confidential information that is protected by applicable intellectual property and other laws and are the sole property of MedicalStaff AI, its Licensors, or our content providers. Unless otherwise specified in writing, MedicalStaff AI is for your personal and non-commercial use. In connection with your use of MedicalStaff AI, you acknowledge and agree that you will not:

  • Copy, reverse engineer, reverse assemble, otherwise attempt to discover the source code, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software, products, or services obtained through the Sites or the Services;
  • Use any robot, spider, site search and/or retrieval application, or other devices to crawl, scrape, database scrape, screen scrape, harvest, gather, extract, retrieve or index any portion of the Services;
  • Use any text, code, image, audio, or other content from any portion of MedicalStaff AI (a) for data set creation, analysis, or manipulation (including activities sometimes called “data mining,” “text and data mining,” or “TDM”) and/or (b) in connection with the development or operation of any software program, including but not limited to any artificial intelligence or machine learning model, software, or process (such as training, fine-tuning, embedding, and the like), either directly or indirectly, including through a third-party (including use of a third-party dataset created in any part by prohibited means);
  • Access MedicalStaff AI by any means other than through the standard industry-accepted or HEC-provided interfaces;
  • Post or transmit any material that contains a virus or corrupted data;
  • Delete any author attributions, legal notices or proprietary designations or labels;
  • Violate any applicable local, state, national or international law, rule or regulation or use the MedicalStaff AI for any purpose that is prohibited by these TOU;
  • Manipulate or otherwise display MedicalStaff AI by using framing or similar navigational technology;
  • Register, subscribe or unsubscribe any party for any MedicalStaff AI product or service if you are not expressly authorized by such party to do so;
  • Use MedicalStaff AI in any manner that could damage, disable, overburden or impair its servers or networks or interfere with any other user's use and enjoyment of site;
  • Gain or attempt to gain unauthorized access to any of MedicalStaff AI, accounts, computer systems or networks connected to MedicalStaff AI through hacking, password mining or any other means;
  • Obtain or attempt to obtain any materials or information through any means not intentionally made available through MedicalStaff AI or harvest or otherwise collect information about other users without their consent;
  • Use MedicalStaff AI in any manner that could damage, disparage, or otherwise negatively impact MedicalStaff AI, ACI Health and ACI Fed. In addition, you agree to comply with our Posting Guidelines below.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, COPYING OR REPRODUCING ANY SERVICES, PROGRAMS, PRODUCTS, INFORMATION OR MATERIALS PROVIDED BY MEDICALSTAFF AI TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.

7. Posting Guidelines

MedicalStaff AI Material: Our Services allow for the posting by employers, recruiters, associations, and staffing agencies of available job opportunities at their companies or companies they represent, and by candidates of their own resumes (“Materials”). MedicalStaff AI is under no obligation to evaluate or censor the resumes, job listings, or other information posted to the Services. MedicalStaff AI is not involved in any actual transaction between potential employers and candidates, and accordingly has no control over: the quality, safety, or legality of the job listings, resumes, or Materials posted to the Services; the truth or accuracy of any job listings, resumes, or Materials; the ability of any employer to hire candidates; or the ability of any candidate to fill job openings. When you post Materials on the MedicalStaff AI, you are solely responsible for the form, content, and accuracy of any resume, job listing, and/or Materials that you post. MedicalStaff AI makes no representations, warranties, or guarantees concerning the Services, including without limitation, representations that a resume, job posting, or Materials will be viewed by any specific number of users, or that a resume, job posting, or Materials will be viewed by any user. MedicalStaff AI is not to be considered an employer with respect to any user's use of the Services and MedicalStaff AI shall not be responsible for any employment decisions made by any person or entity posting job listings, resumes, or other Materials to the Services. MedicalStaff AI assumes no responsibility or liability for any personnel selected by any company or entity through the Services, and selection, retention, or hire of any individual or entity is based solely on your or your company’s investigation, verification, and determination that such hire is suitable for the job role and for the company or entity’s purposes. As a representative of your company, you represent and warrant to MedicalStaff AI that you are authorized to post on behalf of your company in connection with your use of the Services. The following additional restrictions apply to any Materials posted by you on the MedicalStaff AI Services. You shall not do any of the following without the prior written authorization of MedicalStaff AI:

  • Post any inaccurate, untimely, stale, incomplete, or misleading information, including inaccurate biographical information;
  • Post any employment opportunity or requirements that are inaccurate or not available with a verifiable company that is directly represented by you or your company;
  • Post any employment opportunities that are not healthcare-related or are outside a healthcare-related field or organization;
  • Post any employment opportunities that include bigoted, hateful, discriminatory, racially offensive, vulgar, obscene or otherwise objectionable or discriminatory language or Materials;
  • Post any employment opportunities or Materials that violate the privacy or publicity rights of any other person, including, without limitation, posting any personal identifying information of another individual, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers, credit card numbers or any trade secrets or information for which you have any obligation of confidentiality;
  • Key code (through overuse of a skill set, term or definition within a job posting, profile, resume or otherwise in an effort to gain priority placement of a posting), copy other job postings as your own, post the same position multiple times on the Services or post multiple positions within one posting;
  • Place any contact information within a job posting that is different from or in addition to contact information provided when subscribing to the MedicalStaff AI Services;
  • Post any employment opportunity that does not contain a valid application method (such as your company URL, email address, or “apply online”) that is connected to the “Apply” button in the job posting;
  • Place any content within the job details section of a job posting that directs job seekers to apply directly via an email address or any other method that circumvents the “Apply” link;
  • Resell or make available to any person not expressly licensed by MedicalStaff AI, whether via phone, fax, email, mail, or other medium, any of the MedicalStaff AI Services or any information obtained therefrom, including, without limitation, resumes, Materials, or candidate information;
  • Allow job postings or employment requirements to remain posted on the MedicalStaff AI Services for more than 24 hours after they are no longer viable or valid (where a position is placed on “hold” or is otherwise not available for immediate placement, the posting should be removed until it is a viable opening);
  • Respond to a job listing on behalf of anyone other than yourself;
  • Delete or revise any Materials posted by another person or entity;
  • Use, print, or otherwise copy any personal information of candidates for any purpose other than consideration of the candidates for potential employment by your company or a company you represent;
  • Collect usernames and/or email addresses of registered users, including job applicants and those posting job postings, by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of, or linking to, the Services or users on the Services;
  • Post anything that interferes with or disrupts the Site or the operation thereof, including Materials that contain malicious code, viruses, corrupted files or any other similar software or programs that may damage the operation of any computer, network or the web site;Post Materials that violate contractual or fiduciary rights, duties or agreements; or
  • Post employment opportunities or Materials that infringe, or that may infringe, any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party, or that you otherwise do not have the right to make available, without the express permission of the owner of the copyright, trademark or other proprietary right.

The above is not a complete list of illegal and/or prohibited use of MedicalStaff AI. Use of MedicalStaff AI is subject to existing laws and legal processes. Nothing contained herein shall limit our right to comply with governmental, court, and law-enforcement requests or requirements relating to your use of the MedicalStaff AI. We expressly disclaim all responsibility and endorsement and make no representation as to the validity of any information made or displayed by third parties, nor are we responsible for any errors or omissions in such postings. Under no circumstances will MedicalStaff AI, or our parent company, affiliates, content suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through any postings of employment opportunities or Materials.

8. License Grant and Copyright Policy

These terms of use provide to you a personal, revocable, limited, non-exclusive, royalty-free, non-transferable license to use the Sites conditioned upon your continued compliance with these terms of use. If you believe in good faith that materials hosted on the Site or Services infringe your copyright, you or your agent may send to MedicalStaff AI a notice requesting that the material be removed or access to it be blocked, as provided by The Digital Millennium Copyright Act of 1998 ("DMCA"), which provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under the U.S. copyright law. Any notification by a copyright owner or a person authorized to act on the person’s behalf that fails to comply with requirements of the DMCA shall not be considered sufficient notice and shall not be deemed to confer upon MedicalStaff AI actual knowledge of facts or circumstances from which infringing material or acts are evident. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you for materials you have posted, the DMCA permits you to send us a counter-notice. All notices and counter notices must meet the then-current statutory requirements imposed by the DMCA; see http://www.loc.gov/copyright for details. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • Identification and a description of the copyrighted work that you claim has been infringed;
  • Identification of where the material that you claim is infringing is located on the Site or Service, including any additional information such as URLs and post numbers to reasonably permit us to locate the material;
  • Information reasonably sufficient to permit us to contact you, such as your address, telephone number and, if available, your email address;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law;
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

9. No Warranties; Limitation of Liability – Limited Remedies

THE SITE AND THE SERVICES, AND ANY CONTENT, TOOLS, PRODUCTS OR SERVICES DISPLAYED, ACCESSED OR OBTAINED ON OR THROUGH THE SITE AND SERVICES ARE PROVIDED "AS IS", "AS AVAILABLE" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, EVERYDAY HEALTH MEDIA, LLC, ARTHUR L. IN NO EVENT SHALL THE TOTAL LIABILITY OF HEC OR ITS LICENSORS TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING ANY OF THE SITES AND/OR SERVICES. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit liabilities, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such applicable law.

10. Third-Party Links

MedicalStaff AI and ACI Health are not affiliated or associated with sponsors of sites which hyperlink to or from the site. The linked sites are not under the control of MedicalStaff AI and we are not responsible for the content of any linked site or any link contained in a linked site. We reserve the right to terminate any link or linking program at any time. We may provide links from the Site or Services to other sites as a convenience to you. This is not and does not constitute an endorsement of any company, content or products. If you decide to access any of the third-party sites linked to the Site or Services, you do this entirely at your own risk.

11. Indemnification

You agree to indemnify, defend and hold MedicalStaff AI, ACI Health and its parent companies, affiliates, licensors, officers, directors, agents, employees and representatives harmless from and against any and all claims, damages, losses, costs or expenses (including reasonable attorneys' fees and disbursements) which arise directly or indirectly out of or from (i) your breach of these terms of use or our privacy policies; (ii) any allegation that any Materials infringe or otherwise violate the copyright, trade secret, trademark or other intellectual property rights of a third party; (iii) your access or use of the Site or the Services; (iv) any use or alleged use of your accounts or your passwords by any person, whether or not authorized by you ; (v) your violation of the rights of any other person or entity; and (vi) your violation of any applicable laws, rules, or regulations. MedicalStaff AI, and its parent company, affiliates, directors, and officers reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with MedicalStaff AI’s defense of such claim.

12. Termination

You agree that we may, in our sole discretion, terminate your password, account (in whole or in part) or use of the Site or Services, and remove and discard any content within the Site or Services, at any time and for any reason. You agree that any actions taken under this Section may be effective without prior notice to you.

13. Jurisdictional Issues and Governing Law

We make no representation or warranty that the content and materials on MedicalStaff AI are appropriate or available for use in locations outside the United States. Those who choose to access MedicalStaff AI from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. We reserve the right, at any time in our sole discretion, to limit the availability and accessibility of the Sites or Services to any person, geographic area or jurisdiction we so desire, and to limit the quantities of any such service or products that we provide.

These Terms and Conditions are governed by the internal substantive laws of the State of Virginia, without respect to its conflict of laws or choice of laws principles.

You expressly and irrevocably agree that exclusive jurisdiction for any dispute in any way relating to your use of the Site or Services shall be in the courts located in Fairfax, Virginia and you further agree and expressly consent to the exercise of personal jurisdiction in such courts in connection with any such dispute including any claim involving MedicalStaff AI, ACI Health or its parent corporations, affiliates, subsidiaries, employees, contractors, officers, directors and content providers.

14. Severability; Waiver

If any provision of these terms of use is found to be invalid by any court having jurisdiction, then the invalidity of such provision shall not affect the validity of the remaining provisions of these terms of use, which shall remain in full force and effect. No waiver of any of these terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

15. Privacy

The personal information you submit to us is governed by our Privacy Policy. To the extent there is an inconsistency between this Agreement and our Privacy Policy, the Privacy Policy shall govern.

16. Successors and Assigns

We may exercise any of our rights under these terms through one or more of our corporate affiliates (including any entity that directly or indirectly controls, is controlled by or is under common control with us). If our assets are acquired by another entity, that entity will assume our rights and obligations as described in these terms. You may not assign your rights or obligations under these terms, by operation of law or otherwise, without our prior written consent.

18. Updates

We may modify these terms of use at any time, as we deem appropriate by posting such modified terms of use on MedicalStaff AI. If you disagree with the changes to these terms of use, you must discontinue your use of MedicalStaff AI, and if you have registered as a member, cancel your registration. Your continued access of MedicalStaff AI following such notice signifies your acceptance of the modified terms of use. If you object to any such changes, your sole recourse will be to cease access to MedicalStaff AI.
